Corporate Governance Practices

The Fund will have an Audit Committee comprised of three Trustees, each of whom will be "unrelated" within the meaning of the corporate governance policy of the TSX and "independent" within the meaning of applicable securities laws.

The Audit Committee will assist the Trustees in fulfilling their responsibilities of oversight and supervision of the accounting and financial reporting practices and procedures of the Fund, the adequacy of internal accounting controls and procedures, and the quality and integrity of financial statements of the Fund.

In addition, the Audit Committee will be responsible for directing the auditors’ examination of specific areas and for the selection of potential independent auditors to be appointed by the Unitholders.
